Representative Experience
While Sutherland and Watson & Band remain separate, we are working together for the benefit of our respective clients. Sutherland and Watson & Band have jointly assisted clients in the following matters:
- Sutherland attorneys and Watson & Band attorneys represented a Sutherland client, a U.S.-based world-class technology and manufacturing company, in acquiring a 25% interest in a Chinese manufacturing company in Pingxiang, Jiangxi Province, and navigating the governmental formalities to develop it into a joint venture. We also assisted the client in exercising the option to increase its interest in the joint venture by 12.5% a year later. The joint venture’s performance has attracted investors from Shenzhen Capital Group Co., the largest venture capitalist in China. Sutherland and Watson & Band attorneys worked together to assist the joint venture with its IPO strategy in the China Shenzhen Stock Exchange.
- Sutherland attorneys and Watson & Band attorneys represented a Watson & Band client, a China-based integrated comprehensive logistics provider, in connection with litigation in the U.S. District Court for the Southern District of New York. In this case, two plaintiffs respectively obtained a writ of garnishment, while our client was in New York, to attach our client’s assets based on the untrue allegation that the client was the alter ego of their debtor in China. By virtue of the attorneys’ joint efforts, one plaintiff voluntarily dismissed all the claims against the client and instructed the banks to release all the attached funds. The attorneys helped the client to file the application to vacate the outstanding writ of garnishment entered in this matter and the ruling is expected soon.
- Sutherland attorneys and Watson & Band attorneys recently represented a Sutherland client, a U.S.-based Fortune 500 multinational communications corporation, in purchasing a 100% ownership of a China Shenzhen-registered manufacturing company from another world-leading optical products provider. In order to expedite the takeover process and avoid redundant Chinese governmental examination formalities, we helped the client redesign the acquisition structure and purchase the ownership of the target company’s parent company incorporated in the Cayman Islands instead of a direct acquisition, successfully completing the deal within months.
- Sutherland attorneys and Watson & Band attorneys represented a Sutherland client, a U.S.-based timber company, with a potential tax issue relating to how the client established and operated its representative office in China. Due to the limited activities permitted of a representative office under Chinese law, the attorneys jointly assisted the client with the task of re-structuring the division of functions between the representative office and its U.S. parent company to ensure the legality of its sales activities in China.
- Sutherland attorneys and Watson & Band attorneys recently represented a Sutherland client, a U.S.-based large, outdoor product company, regarding continued copyright infringement by a Chinese company. The Chinese company was manufacturing products bearing patterns copyrighted by our client. We assisted our client with the enforcement of their copyright portfolio in China against the unauthorized manufacturer.
